SY002. Turnkey Agreement for the Supply of a Customised Computer System (Drafted for the Customer’s benefit)


This Contract co ordinates the purchase and supply of computer hardware, the licensing or sub licensing of software; their installation and testing together as a system and finally, their “bringing into service” with no payment by the customer until the Customer is satisfied. This Contract is drafted for the customer’s protection.

The Contract is structured so the Customer pays nothing until (a) the Customer alone is satisfied that the system recommended and supplied by the Contractor has passed the Acceptance Tests; and (b) the source materials for the bespoke software has been delivered to the Customer and the source material for the Contractor’s and 3rd party software has been delivered into escrow. Only when (a) & (b) have been completed should the Customer issue an Acceptance Certificate, which triggers part payment to the Contractor.
