M002. Non-Disclosure Agreement (Both Parties Disclosing)

The purpose of this Contract, of which there are a great many variations, is to afford the owners of proprietary and confidential information some protection in circumstances where each party must disclose such information to the other party for the purposes of, for example, evaluating whether new software of one party will operate with the hardware of the other. (see contract M001 where only 1 party needs disclose confidential information).

In this Contract each party is the owner of an idea, invention or other confidential information which it needs to disclose to the other in order for that other party perhaps to advise on the performance of the same or to produce a sample or prototype product; or merely to evaluate the product, either before it is released on the market or for the purposes of undertaking to maintain the product.
